Force Majeure
Neither party shall be liable for any delay or failure to perform any obligation under these Terms if such delay is caused by circumstances beyond their reasonable control.

 

Intellectual Property

Ownership
All intellectual property rights associated with the content, materials, and software provided by SA Innovation Summit remain our exclusive property or the property of our licensors.

Limited Licence
Participants are granted a limited, non-transferable licence to use, view, or interact with the content solely for the purpose of participation in our offerings.

Restrictions

Participant Conduct and Code of Behaviour

Standards of Conduct
You agree to conduct yourself in a respectful and professional manner during all interactions, whether in-person or online. Unacceptable behaviour, including harassment, discriminatory practices, or disruptive actions, may result in immediate termination of your participation.

Compliance with Laws and Policies
You must comply with all applicable local and international laws as well as any additional guidelines provided for specific offerings.

User-Generated Content
Any content provided by participants (e.g. feedback, photographs, or comments) must not infringe on the rights of third parties or contain offensive material. By submitting such content, you grant us a non-exclusive licence to use it for promotional and operational purposes.

 

Disclaimers and Limitation of Liability

Service “As Is”
Our offerings are provided on an “as is” basis, and we make no warranties regarding their accuracy, reliability, or fitness for a particular purpose.

Limitation of Liability
To the fullest extent permitted by law, neither SA Innovation Summit nor its affiliates shall be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your participation in our offerings.

Indemnification
You agree to indemnify and hold harmless SA Innovation Summit from any claims, damages, or expenses arising from your breach of these Terms or your participation in our offerings.

These Terms shall be governed by and construed in accordance with the laws of South Africa.

Any disputes arising from these Terms or your participation in our offerings shall be resolved through good-faith negotiations between the parties. Failing an amicable resolution, the dispute may be submitted to mediation or arbitration, or finally resolved by a competent court in South Africa.

Continued Participation

Awards, Funding, and Investment Conditions

All prizes, awards, disbursements, investments, and recognitions provided by or on behalf of SA Innovation Summit, including those relating to financial funding, money disbursements, or investment opportunities, are subject to verification and the successful completion of our due diligence and review processes, as well as any such processes implemented by our partners, sponsors, or other third parties involved.

Failure to satisfy any of the stipulated conditions may result in the prize, award, or disbursement being withheld, modified, or withdrawn entirely, at the sole discretion of SA Innovation Summit or the relevant third party. By participating in our offerings, you acknowledge and agree that any financial or award-related benefits are conditional upon the completion of these checks and procedures.

 

Miscellaneous Provisions

Entire Agreement
These Terms, together with any additional guidelines or policies referenced herein, constitute the entire agreement between you and SA Innovation Summit regarding your participation in our offerings.

Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver
The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
